Resilience First: Membership terms and conditions

Thank you for your interest in becoming a member of Resilience First. These are the terms governing annual Subscription and Membership (as defined below). Please note that there are other terms which are applicable governing the use of this website – please see here.

Resilience First Limited (“we”, “us”) provides Resilience First Membership (as defined below) to businesses only (any individual signing up for Resilience First Membership must have authority to bind their business under these terms). Resilience First Membership is not available to individuals. Reference to “you” and “your” in these terms refers to the business signing up for Resilience First Membership.

Resilience First Membership is provided by Resilience First Limited. We are registered in England and Wales under company number 11316767 and our registered office is at 16 Great Queen Street, Covent Garden, London, United Kingdom, WC2B 5AH. Our VAT number is 305695689.

Where to find information about us and Resilience First Membership

You can find everything you need to know about us and the benefits of Resilience First Membership on our website.

We will confirm key information to you in writing to the email address provided in the form to be completed by you on applying for Resilience First Membership (the “Application Form”) after you have signed up for Resilience First Membership and made any payment, as applicable.

There are two types of annual membership available:

  1. Subscription which has the benefits shown here. Subscription is provided free of charge; and
  2. Membership which has the benefits shown here. Membership is a paid for membership, with payment to be made in accordance with these terms,

together henceforth referred to as “Resilience First Membership”.

Resilience First Membership is only available to businesses – not individuals
 

Confirmations on applying for Resilience First Membership

By applying for Resilience First Membership, you confirm that:

  • you are a business customer;
  • the person completing the Resilience First Membership Application Form and providing information in relation to your business is an authorised representative capable of binding you to these terms;
  • the information provided in relation to you is true and accurate, including for use in the Client Relationship Management system (CRM);
  • your name and logo may be included on our website including to promote Resilience First Membership and will be incorporated into the CRM;
  • you accept entry into these terms.

By applying for Resilience First Membership and accepting these terms, you further agree that:

  • We can charge you the annual Membership Fee (as defined below) in full at the point you apply.
  • We can change Resilience First Membership benefits and these terms in accordance with these terms.
  • We can terminate Resilience First Membership in accordance with these terms.
  • We don’t compensate you for any losses relating to your Resilience First Membership with us.
  • We use personal data as set out in our Privacy Notice.

Sometimes we reject Resilience First Membership applications

Acceptance of businesses to Resilience First Membership is at our sole discretion (and we are not obliged to provide reasons in relation to any rejection of Resilience First Membership). No compensation will be owed to you in relation to a decision to reject your application for Resilience First Membership – however, if we reject your Membership, we will return the Membership Fee to you, or such proportion of the Membership Fee as is unused (e.g., if we reject your Membership after one month, we will return to you an amount equivalent to 11/12ths of the Membership Fee paid by you).

You’re responsible for making sure the details provided are accurate

As part of the Resilience First Membership Application Form, you must provide information related to your business. You are responsible for ensuring this information is complete and accurate, and provided by someone with authority to accept these terms on your behalf and to provide information related to you.
 

Resilience First Membership Period and Membership Fee

Resilience First Membership is annual.

  • The annual membership fee is based on a calendar year (1 January to 31 December) 

  • The annual membership fee is pro-rated for members joining during a calendar year  

  • Payment of the membership fee is due within 30 days of invoice date  

  • Renewal of membership is automatic, and the invoice will be presented in December, prior to the calendar year for renewal  

  • One month’s notice of resignation required to stop the automatic renewal (i.e. by 30 November in the year prior to membership renewal).  

  • Member to nominate a main contact to take responsibility for membership 

Resilience First Subscription is free and Membership commences from the date of submission of a completed Application Form.

Membership fee

The Membership fee is £5,000 plus VAT (“Membership Fee”).

The Membership Fee is payable on submission of the Membership Application Form. 

As a business customer, all amounts due to us under these terms must be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).
 

Changes to these terms and Resilience First Membership benefits

Changes we can always make. We can always change Resilience First Membership benefits and these terms:

  • to reflect changes in relevant laws and regulatory requirements; and
  • to make minor adjustments to Resilience First Membership benefits, and improvements.

Changes we can only make if we give you notice and an option to terminate. We can also make the following types of change to the Resilience First Membership benefits or these terms, but if we do so we’ll notify you and you can then contact us to end the contract before the change takes effect. No compensation will be owed to you and the Membership Fee shall not be refunded:

  • if we make material adjustments to Resilience First Membership (e.g., if we increase the Membership Fee payable by you mid-Resilience First Membership Period);
  • if we cease to provide Membership.
     

Termination of Resilience First Membership

We can end your Resilience First Membership under these terms

We can end your Resilience First Membership immediately on notice if:

  • you don’t, within a reasonable time of us asking for it, provide us with information that we need in order to verify information you have provided in the Resilience First Membership Application Form;
  • the information provided in the Resilience First Membership Application Form is incomplete or inaccurate (or you fail to update your information in the event of any material change);
  • you are in breach of these terms; or
  • we believe, in our sole discretion, association with you is damaging to our reputation.

You shall not be entitled to terminate Resilience First Membership during the Resilience First Membership Period except where we are in breach of these terms. In this case, you may terminate Resilience First Membership in such circumstances by written notice to us. No compensation will be owed to you – however, in the case of termination of Membership under this term, we will refund you an amount of the Membership Fee proportional to the number of months remaining in the relevant Resilience First Membership Period (e.g., if your terminate your Membership under this clause after one month, we will return to you an amount equivalent to 11/12ths of the  Membership Fee paid by you).

Resilience First Membership expires at the end of the Resilience First Membership Period.
Resilience First Membership may be renewed in accordance with these terms.


Liability

Our liability to businesses. As a business, except in respect of the losses described in Losses we never limit or exclude:

  • we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any contract between us; and
  • our total liability to you for all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to an amount equivalent to the annual Membership Fee.

Losses we never limit or exclude. Nothing in these terms shall limit or exclude our liability for:

  • death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors (as applicable);
  • fraud or fraudulent misrepresentation; or
  • any matter in respect of which it would be unlawful for us to exclude or restrict liability.


Use of data and information about you

We use your personal data as set out in our Privacy Notice.

Disputes

You have options for resolving disputes with us

Make a complaint. You can make a complaint by emailing contact@resiliencefirst.org and we will do our best to resolve any problems you have with us or Resilience First Membership. We aim to contact you about any complaints within 15 working days of receipt.

You can go to court. These terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

Other important terms apply to our contract

We can transfer our contract with you, so that a different organisation is responsible for managing Resilience First Membership and providing Resilience First Membership benefits. We’ll email you to let you know if we plan to do this.

You can only transfer your contract with us to someone else if we agree to this. You need our agreement to transfer your contract with us and it’s entirely up to us whether we give it.

Nobody else has any rights under this contract. This contract is between you and us. Nobody else can enforce it and neither of us will need to ask anybody else to sign-off on ending or changing it.

If a court invalidates some of this contract, the rest of it will still apply. If a court or other authority decides that some of these terms are unlawful, the rest will continue to apply.

Even if we delay in enforcing this contract, we can still enforce it later. We might not immediately chase you for not doing something (like paying invoices due to Resilience First) or for doing something you’re not allowed to, but that doesn’t mean we can’t do it later.

Entire agreement

These terms, along with any other terms referred to or appearing elsewhere (such as on our website) constitute the entire agreement between us in relation to Resilience First Membership. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by us or on our behalf which is not set out in these terms along with any other terms referred to or appearing elsewhere (such as on our website) and that you have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this agreement.
