Resilience First: Membership Terms and Conditions
Thank you for your interest in becoming part of Resilience First. These are the terms governing our two types of membership: Subscribers (free) and Members (paid – as defined below). Please note that there are other terms which are applicable governing the use of this website – please see here.
Resilience First Limited (“we”, “us”) provides Resilience First Membership (as defined below) to businesses only. Reference to “you” and “your” in these terms refers to the business signing up for Resilience First Membership.

Resilience First Membership is provided by Resilience First Limited. We are registered in England and Wales under company number 11316767 and our registered office is at 85 Great Portland Street, 1st Floor, London, United Kingdom, W1W 7LT. Our VAT number is 305695689.

We will confirm key information to you in writing to the email address provided when enquiring about joining Resilience First.
Types of Membership
There are two types of Membership available:
- Subscriber which has the benefits shown here. Subscription is provided free of charge and is continuous until you notify us otherwise; and
- Member which has the additional benefits shown here. Member status is paid for on a calendar year basis. For new Members joining during a calendar year, the Member fee is pro-rated accordingly.
Confirmations on applying to join Resilience First
By applying to join Resilience First, you confirm that:
- You are a business;
- The person completing the Resilience First Subscriber or Member Application Form and providing information in relation to your business is an authorised representative capable of binding you to these terms;
- The information provided in relation to you is true and accurate, including for use in the Client Relationship Management system (CRM);
- You accept entry into these terms;
- We can change Resilience First benefits and these terms in accordance with these terms;
- We can terminate your organisation’s Resilience First Membership status in accordance with these terms;
- We do not compensate you for any losses relating to your Resilience First Membership;
- We use personal data as set out in our Privacy Notice.
By applying to become a Resilience First Member and accepting these terms, you further agree that:
- We can invoice your organisation the Member Fee (as defined below)
- Your organisation name and logo may be included on our website to promote your organisation as a Resilience First Member.
Sometimes we reject Resilience First Membership applications
Acceptance of your organisation joining Resilience First is at our sole discretion (and we are not obliged to provide reasons in relation to any rejection of an organisation’s membership of Resilience First). No compensation will be owed to you in relation to a decision to reject your application – however, if we reject your Member status, we will return the Member Fee to you, or such proportion of the Member Fee as is unused based on a monthly pro-rata basis.
You are responsible for making sure the details provided are accurate
As part of the Resilience First Subscriber or Member Application Form, you must provide information related to your business. You are responsible for ensuring this information is complete and accurate, and provided by someone with authority to accept these terms on your behalf and to provide information related to you.
Resilience First Member Fee
The Resilience First Member Fee applies as follows:
- The Member Fee is based on a calendar year (1 January to 31 December)
- The Member Fee is pro-rated for Members joining during a calendar year
- Payment of the Member Fee is due within 30 days of invoice date
- Renewal of Resilience First Member status is automatic, and the invoice will be presented up to 30 days prior to the start of the calendar year for renewal
- One month’s notice of resignation as a Member is required to stop the automatic renewal (i.e. by 30 November in the year prior to Member renewal).
The Member fee for a calendar year is £5,000 plus VAT (“Member Fee”).
All amounts due to us under these terms must be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).
Changes to these terms and Resilience First Membership (Subscriber or Member) benefits
Changes we can always make. We can always change Resilience First Membership benefits and these terms:
- to reflect changes in relevant laws and regulatory requirements; and
- to make minor adjustments to Resilience First Membership (Subscriber or Member) benefits, and improvements.
Changes to Member benefits we can only make if we give you notice and an option to terminate. We can make the following types of change to the Resilience First Member benefits or these terms, but if we do so we’ll notify you and you can then contact us to end the contract before the change takes effect:
- if we make material adjustments to Resilience First Member benefits or fees (e.g., if we increase the Member Fee payable by you by more than 5% in any one year);
- if we cease to provide Member benefits
No compensation will be owed to you and the Member Fee shall not be refunded.
Termination of Resilience First Member status
We can end your Resilience First Membership (Subscriber or Member) under these terms
We can end your Resilience First Membership (Subscriber to Member) immediately on notice if:
- you don’t, within a reasonable time of us asking for it, provide us with information that we need in order to verify information you have provided in the Resilience First Subscriber or Member Application Form;
- the information provided in the Resilience First Subscriber or Member Application Form is incomplete or inaccurate (or you fail to update your information in the event of any material change);
- you are in breach of these terms; or
- we believe, in our sole discretion, association with you is damaging to our reputation.
You may terminate Resilience First Membership where we are in breach of these terms by written notice to us. No compensation will be owed to you – however, in the case of termination of Member status under this term, we will refund you an amount of the Member Fee proportional to the number of months remaining in the relevant Resilience First Member Period.
Liability
Our liability to you. As an organisation, except in respect of the losses described in Losses we never limit or exclude:
- we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any contract between us; and
- our total liability to you for all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to an amount equivalent to the annual Member Fee.
Losses we never limit or exclude. Nothing in these terms shall limit or exclude our liability for:
- death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors (as applicable);
- fraud or fraudulent misrepresentation; or
- any matter in respect of which it would be unlawful for us to exclude or restrict liability.
Use of data and information about you
We use your personal data as set out in our Privacy Notice.
Disputes
You have options for resolving disputes with us
Make a complaint. You can make a complaint by emailing contact@resiliencefirst.co.uk and we will do our best to resolve any problems you have with us or Resilience First Membership. We aim to contact you about any complaints within 15 working days of receipt.
You can go to court. These terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
Other important terms apply to our contract
We can transfer our contract with you, so that a different organisation is responsible for managing Resilience First Membership and providing Resilience First Membership benefits. We’ll email you to let you know if we plan to do this.
You can only transfer your contract with us to someone else if we agree to this. You need our agreement to transfer your contract with us and it’s entirely up to us whether we give it.
Nobody else has any rights under this contract. This contract is between you and us. Nobody else can enforce it and neither of us will need to ask anybody else to sign-off on ending or changing it.
If a court invalidates some of this contract, the rest of it will still apply. If a court or other authority decides that some of these terms are unlawful, the rest will continue to apply.
Even if we delay in enforcing this contract, we can still enforce it later. We might not immediately chase you for not doing something (like paying invoices due to Resilience First) or for doing something you’re not allowed to, but that doesn’t mean we can’t do it later.
Entire agreement
These terms, along with any other terms referred to or appearing elsewhere (such as on our website) constitute the entire agreement between us in relation to Resilience First Membership. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by us or on our behalf which is not set out in these terms along with any other terms referred to or appearing elsewhere (such as on our website) and that you have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this agreement.
